Organul administrativ și reprezentarea legală a societății comerciale

The bodies of the company are internal parts of the legal person through which it expresses its social will. The distinction between a legal entity and its organs can only be seen from within. Persons designated as members of a corporate body must be registered for advertising purposes. The legal representation of the legal person is the rule, unlike the legal representation of the natural person, where the exception is. The legal representation of the legal person comes from the shareholders and cannot be transmitted. What can be transmitted is a limited, conventional representation (proxy). The legal representatives of the legal person may be appointed exclusively from the members of its management body. The legal representation of the legal person is a legalized concept only with the new Civil Code, not previously existing in the former Decree no. 31/1954.

Organele societății comerciale sunt părți interne ale persoanei juridice prin care aceasta își exprimă voința socială. Distincția dintre o persoană juridică și organele sale poate fi privită numai din interior. Persoanele desemnate ca membri ai unui organ societar trebuie să fie înregistrate în scop de publicitate. Reprezentarea legală a persoanei juridice este regula, spre deosebire de reprezentarea legală a persoanei fizice, unde este excepția. Reprezentarea legală a persoanei juridice izvorăște de la asociați și nu poate fi transmisă. Ceea ce se poate transmite este o reprezentare limitată, pe cale convențională (procură). Reprezentanții legali ai persoanei juridice pot fi desemnați exclusiv dintre membrii organului de administrare. Reprezentarea legală a persoanei juridice este un concept legiferat abia prin noul Cod civil, neexistând anterior, în fostul Decret nr. 31/1954.
