Abuzul de dreptul de vot

This article approaches the issue of the abuse of the voting right, from the perspective of the current legislation, that is the New Civil Code, and the fact that it conflicts with The Companies Law no. 31/1990, as well as with The Capital Market Law no. 297/2004, which laws were inspired by the former Decree no. 31/1954. The two most common forms of the abuse of the voting right, that is minority oppression and majority harassment, are analyzed through the central issue of this article, which is the inexistence, within the shareholders relationships reflected in the general assemblies, of a “company’s interest”, as well as there is no more general, common interest in the definition of the abuse of right adopted by the New Civil Code. Ultimately, it is about the collision between the two mentalities: a statist one, “perfected” by the communist system, and a liberal one, used by a market driven economy.

Prezentul articol tratează chestiunea abuzului de drept de vot din perspectiva actualei legislații, în speță Noul Cod civil și a faptului că acesta vine în conflict cu Legea nr. 31/1990 privind societățile, precum și cu Legea pieței de capital nr. 297/2004, care legi s-au inspirat, în ceea ce privește exercițiul dreptului de vot în mod abuziv, din fostul Decret nr. 31/1954. Cele două forme cunoscute ale abuzului de drept, în speță abuzul de majoritate și abuzul de minoritate, sunt tratate prin prisma chestiunii centrale a acestui articol, în speță inexistența, în raporturile inter-acționariale reflectate în cadrul adunărilor generale, a unui „interes societar”, așa cum nu mai există un interes general, obștesc, în definiția abuzului de drept adoptată de Noul Cod civil. Este vorba, în final, de coliziunea dintre două mentalități: una etatistă, „perfecționată” de sistemul comunist și alta liberală, specifică unei economii de piață.
