Teorii ale guvernanței corporative: origini, evoluții, actualitate

The purpose of this paper is to realize a freeze frame of the actual debate on corporate governance theories. It deals with the major theories of corporate governance: agency theory, stewardship theory, stakeholder theory, resource dependency theory, transaction cost theory and political theory. Are presented the origins and the evolution of the main assumptions of all these six well known corporate governance theories.
After the corporate scandals of the early 2000 and much more after the financial and economic crisis that peaked in 2008, the researchers have called into question the actuality and the viability of the explanatory models provided by these theories.
Also have addressed their already known or recent discovered limits. Finally, the paper identifies the main trends of the future corporate governance theories and puts them in regards to the newest developments of the corporate purpose theories.

Scopul acestei lucrări este acela de a realiza un stop-cadru al dezbaterilor actuale asupra teoriilor guvernanței corporative. Articolul are ca obiect marile teorii ale guvernanței corporative: teoria raporturilor de mandat, teoria administratorului, teoria deținătorilor de interese, teoria dependenței de resurse, teoria costurilor de tranzacționare și teoria politică. Aceste șase cele mai cunoscute teorii sunt abordate într-o prezentare care pornește de la origini și traversează evoluția principalelor idei care le-au marcat dezvoltarea.
După scandalurile corporative de la începutul anilor 2000, dar mai ales după survenirea crizei financiare și economice din 2008, actualitatea și viabilitatea modelelor ideatice ale acestor teorii sunt puse în discuție, iar limitele lor, cunoscute ori recent descoperite, au devenit preocuparea cercetătorilor. În fine, lucrarea identifică principalele tendințe ale viitoarelor teorii și le așează în corelație cu cele mai recente evoluții ale teoriilor scopului corporației.
