Expirarea (duratei) mandatului administratorului societății (comerciale)

The issue regarding the effects arising from the termination of the administrator’s mandate has received different answers in the business practices and, in particular, in the case law, which requires doctrinal clarifications.
Our purpose hereby is essentially to determine whether, following the termination of their mandate, the administrator – representative of a company – keeps or not such capacity given that the company has not appointed another administrator nor has reappointed the initial administrator.
In such cases, does the termination of the administrator’s mandate lead to the termination of their mandate or is there a tacit extension of the mandate, respectively of the power of representation or (even) an apparent mandate?
Does the former administrator act as a manager for the company’s business if he is not a proxy or an apparent proxy?

Problematica efectelor expirării duratei mandatului administratorului a primit răspunsuri diferite în practica afacerilor, dar, mai ales, în jurisprudență, ceea ce impune lămuriri doctrinare.
În esență, ne-am propus să stabilim dacă, ulterior împlinirii termenului pentru care a fost numit, administratorul reprezentant al societății (comerciale) își menține sau nu această calitate în ipoteza în care societatea nu a desemnat alt administrator și nici nu a reales în funcție administratorul inițial.
În astfel de situații, expirarea duratei mandatului administratorului are ca efect încetarea mandatului acestuia sau intervine o prelungire tacită a mandatului, respectiv a puterii de reprezentare sau (chiar) un mandat aparent?
Dacă nu este mandatar sau mandatar aparent, fostul administrator acționează ca gerant al afacerilor societății?
