Dreptul societar între Codul civil român şi legislaţia europeană

The corporate law, having its main study objective the commercial companies, is in fact, the totality of the law norms which have, as main object, the judicial rapports, whose main subjects are the commercial companies.
The Romanian Civil Code adopted by Law no.287/2009 from July 17, 2009, consecrated by a monistic conception, brings substantial modifications in the matter, both in terms of embedding the Commercial Code into Civil Code, as well as in terms of according the national juridical norms with the european norms in the field.
The economic development and the commercial juridical rapports are directly bound by the market demands and represent one of the engines of social development. From this perspective, both the European and the national legislation, tackle economical phenomena and market demands, with the purpose of ensuring transparent procedures, predictable and applicable in the whole European area.

Dreptul societar, având ca obiect principal de studiu societăţile comerciale, cuprinde în fapt, totalitatea normelor de drept care au ca obiect raporturile juridice al căror subiecte, în principal, sunt societăţile comerciale.
Codul civil român adoptat prin Legea nr. 287/2009 din data de 17 iulie 2009, consacrat printr-o concepţie monistă, aduce modificări substanţiale în materie, atât din punct de vedere al înglobării codului comercial în codul civil, cât şi din perspectiva acordării normei juridice naţionale cu normele europene în materie.

Dezvoltarea economică şi raporturile juridice comerciale, sunt legate direct de cerinţele pieţei şi reprezintă unul dintre motoarele de dezvoltare socială. Din această perspectivă, atât legislaţia europeană cât şi cea naţională, abordează fenomenele economice şi cerinţele pieţei, cu scopul asigurării unor proceduri transparente, predictibile şi aplicabile în întreg spaţiul european.
