Reorganizarea persoanei juridice în viziunea Noului Cod civil

This article’s purpose is to perform a comparative analysis between the procedure of restructuring the legal persons as set by the old regulations before the new Civil Code, and the present procedure set by the latter – with the aim to identify and observe the common elements, as well as the particulars of the new regulation.
The author also related to the provisions of some special regulations, in particular of Companies Law no. 31/1990, as this is the most extensive and most relevant regulation governing the status of lucrative legal persons entities.

Prin acest studiu ne-am propus să efectuăm o analiză comparativă între regimul reorganizării persoanelor juridice aşa cum acesta era conturat de către legislaţia anterioară noului Cod civil şi regimul actual institutit de către acest ultim act normativ, cu intenţia de identifica şi examina elementele comune dar şi specificul noii reglementări. Totodată, am efectuat şi unele comparaţii cu prevederile unor acte normative speciale, în special cu Legea nr. 31/1990 a societăţilor, în considerarea acesteia ca fiind cel mai amplu şi relevant act normativ care reglementează statutul organic al persoanelor juridice cu scop lucrativ.
