Între fair‑play și art. 101 TFUE: limitele autonomiei sportive în fotbalul profesionist

ABSTRACT

The article examines the relationship between the autonomy of sports governing bodies and the application of European Union competition law in professional football, through the lens of the evolving case law of the Court of Justice of the European Union and, in particular, the recent judgment delivered in Case C‑133/24, CD Tondela and Others. The paper highlights the gradual transformation of professional sport from a field traditionally regarded as autonomous into an economic sector fully integrated into the legal and competitive order of the European Union. The analysis traces the development of the Court’s case law, from the recognition of the economic nature of sporting activities in Walrave & Koch and Dona, to the liberalisation of the transfer market brought about by the Bosman judgment and the clarification of the application of competition law to sport in Meca‑Medina, ultimately reaching the recent case law concerning the competition law scrutiny of sports governing structures.

Against this background, the article examines the particular features of the transfer market and the issue of no‑poach agreements between clubs, analysed as potential restrictions of competition on the sports labour market. Particular attention is devoted to the recent case CD Tondela and Others, in which the Court was asked to determine whether an agreement concluded between Portuguese football clubs during the COVID‑19 pandemic, whereby the clubs undertook not to recruit players who had unilaterally terminated their contracts, was compatible with Article 101 TFEU.

The paper argues that the judgment does not establish an exemption of sporting activities from the application of competition law, but rather confirms the need for a contextualised and proportionate assessment of competition restrictions in professional sport. In our view, the case marks the consolidation of a line of European case law according to which the specific nature of sport influences the intensity of competition law scrutiny without excluding the application of internal market rules. At the same time, the analysis highlights the growing convergence between competition law and labour law in professional sport, particularly with regard to player mobility and the functioning of the transfer market.

REZUMAT

Articolul analizează raportul dintre autonomia structurilor sportive și aplicarea dreptului Uniunii Europene în domeniul concurenței în fotbalul profesionist, prin prisma evoluției jurisprudenței Curții de Justiție a Uniunii Europene și, în special, a recentei hotărâri pronunțate în cauza C‑133/24, CD Tondela și alții. Lucrarea evidențiază transformarea progresivă a sportului profesionist dintr‑un domeniu considerat tradițional autonom, într‑un sector economic integrat în ordinea juridică și concurențială a Uniunii Europene. Analiza urmărește evoluția jurisprudenței Curții de Justiție a Uniunii Europene, de la recunoașterea caracterului economic al activității sportive în cauzele Walrave & Koch și Dona, la liberalizarea pieței transferurilor prin hotărârea Bosman și clarificarea aplicării dreptului concurenței în sport prin cauza MecaMedina, pentru a ajunge, în final, la jurisprudența recentă privind controlul structurilor sportive prin aplicarea dispozițiilor dreptului concurenței.

În acest context, articolul examinează particularitățile pieței transferurilor și problematica acordurilor de neracolare (no‑poach agreements) între cluburi, analizate ca posibile restricții ale concurenței pe piața muncii sportive. Un accent special este acordat recentei cauze CD Tondela și alții, în care Curtea a fost chemată să stabilească dacă un acord încheiat între cluburile portugheze în contextul pandemiei COVID‑19, prin care acestea se angajau să nu recruteze jucători care își reziliaseră unilateral contractele, este compatibil cu prevederile art. 101 TFUE.

Lucrarea susține că hotărârea nu consacră exceptarea activităților sportive de la aplicarea dreptului concurenței, ci confirmă necesitatea unei analize contextualizate și proporționale a restricțiilor concurențiale în sportul profesionist.

În opinia noastră, cauza marchează consolidarea unei jurisprudențe europene în care specificul sportului influențează intensitatea controlului privind concurența, fără a exclude aplicarea normelor pieței interne. Totodată, analiza evidențiază apropierea progresivă dintre dreptul concurenței și dreptul muncii în materia sportului profesionist, în special în ceea ce privește mobilitatea sportivilor și funcționarea pieței transferurilor.
