Administrarea şi conducerea societăţilor de investiţii

The board of directors and the managers of the company, for the companies managed in the unitary system, or the supervisory board and the manager, in the case of the companies managed in the dualist system, are organs of the stock company which, even though lack legal personality, hold the totality of management prerogatives of the company. They are characterized by the doctrine as collegial management organs of the stock company, existing on their own, independent from the members composing them. They work as deliberative organs and their decisions regarding the social life are adopted by the vote of their members.

Consiliul de administraţie şi directorii societăţii, pentru societăţile administrate în sistem unitar, sau consiliul de supraveghere şi directoratul, în cazul societăţilor administrate în sistem dualist, sunt instituţii ale societăţii pe acţiuni, care chiar dacă nu se bucură de o personalitate juridică proprie deţin totalitatea prerogativelor de administrare ale companiei, sens în care sunt calificate doctrinar drept organele colegiale de conducere ale societăţilor pe acţiuni, cu o existenţă proprie, independentă de cea a membrilor care le compun, lucrează ca organe deliberative, iar deciziile acestora adoptate cu privire la viaţa socială se adoptă prin votul membrilor acestor organisme.
