Consideraţii privind reglementarea noului Cod civil asupra clauzelor neuzuale

The authors of the study review one of the novel solutions implemented by the new Civil Code of Romania in the area of contractual obligations, namely the regulation of the unusual clauses. These are defined as a species of standard clauses and may be viewed in general as clauses which purport to alter the balance of the obligations of the parties resulting from the statutory regulation of contracts for the benefit of the party which proposes the form of the contract.
The regulation in the Civil Code of Romania has been modelled after similar provisions in the Civil Code of Italy, and is related to comparable provisions in the Civil Code of Quebec, the UNIDROIT Principles of International Commercial Contracts, and European Principles of Contract Law. The provisions already existing in the area of consumer protection legislation, which render ineffective the abusive clauses in contracts between professionals and consumers, shall remain applicable.

Autorii articolului analizează una dintre noutăţile aduse de către noul Cod civil român în materia obligaţiilor contractuale, respectiv reglementarea clauzelor neuzuale. Acestea sunt definite ca o specie de clauze standard şi sunt, de regulă, clauze care tind să modifice echilibrul obligaţiilor dintre părţi din reglementarea legală a contractelor în favoarea părţii care propune forma de contract.
Reglementarea din Codul civil român a fost preluată din Codul civil italian, dar este înrudită cu dispoziţii relativ similare din Codul civil din Quebec, Principiile UNIDROIT din materia contractelor comerciale internaţionale, precum şi cu Principiile dreptului european al contractelor. Prevederile din materia dreptului protecţiei consumatorului care lipsesc de eficacitate juridică clauzele abuzive incluse în contractele dintre profesionişti şi consumatori rămân însă aplicabile.
