Patrimoniul de afectaţiune –instrument în derularea afacerilor

The patrimony by appropriation represents an instrument in business operation, even the business itself, therefore it is required to regulate it in accordance with the requirements modern economy.
This paper analyses and proposes some solutions for the problems of the patrimony by appropriation as instrument by the dint of which a business is operated, as a modern patrimony management technique and as an instrument for limiting commercial entrepreneurs liability. We consider the full autonomy of the patrimony by appropriation of the traders and their liability limitation for their professional obligations, the companies possibility of setting up patrimonies by appropriation, and last, but not least, the problem of alienating the “business”, i.e. the alienation inter vivos of the patrimony by appropriation, as legal universality.

Patrimoniul de afectaţiune reprezintă un instrument în derularea afacerilor, chiar afacerea în sine, motiv pentru care este necesară reglementarea acestuia în acord cu cerinţele economiei moderne.
Studiul de faţă analizează şi propune soluţii la problematicile patrimoniului de afectaţiune ca instrument prin intermediul căruia se derulează o afacere, ca tehnică modernă de gestiune a patrimoniului şi ca instrument de limitare a răspunderii întreprinzătorilor comercianţi. Avem în vedere autonomia deplină a patrimoniului de afectaţiune al comercianţilor şi limitarea răspunderii acestora pentru obligaţiile profesionale, posibilitatea constituirii unor patrimonii de afectaţiune de către societăţile comerciale, şi nu în ultimul rând, problematica înstrăinării „afacerii”, respectiv înstrăinarea inter vivos a patrimoniului de afectaţiune, ca universalitate juridică.
